These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by 123LegalDoc, Inc. ("123LegalDoc," "we," "us," or "our"). By creating an account, purchasing a plan, downloading documents, or otherwise using the Services, you agree to be bound by these Terms and our accompanying policies referenced herein.

If you are using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization, and "you" will refer to that entity.

1. Services & Eligibility

  • 123LegalDoc provides self-help document automation tools, guided workflows, educational resources, and optional referrals to independent professionals.
  • You must be at least 18 years old and legally capable of entering into these Terms to use the Services.
  • We may update, suspend, or discontinue any part of the Services at any time with reasonable notice where practicable.

2. No Legal Representation

  • 123LegalDoc is not a law firm, our employees are not acting as your attorney, and no attorney-client relationship is created by your use of the Services.
  • Communications with our staff, automated systems, or content libraries are not privileged or confidential. Do not share confidential information.
  • You are solely responsible for determining whether the documents generated meet your needs and for obtaining legal advice from a licensed attorney when required.

3. Account Registration & Security

  • You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
  • You are responsible for maintaining the confidentiality of account credentials and for all activities under your account. Notify us immediately at security@123legaldoc.com if you suspect unauthorized use.

4. Fees, Billing, and Refunds

  • Pricing for subscriptions and one-time purchases is disclosed at checkout. Taxes may apply.
  • By submitting payment information you authorize us (and our payment processor) to charge applicable fees.
  • Refund eligibility is governed by the Refund Policy. Certain digital goods may be non-refundable once downloaded or used.

5. Acceptable Use

You agree not to:

  • Use the Services to provide legal advice to third parties or to engage in the unauthorized practice of law.
  • Upload unlawful, defamatory, infringing, or harmful content.
  • Interfere with or disrupt the Services, impersonate another person, or misrepresent your affiliation.
  • Reverse engineer, scrape, or harvest data from the Services except as permitted by applicable law.

6. Intellectual Property

  • The Services, including content, templates, workflow designs, and trademarks are owned by 123LegalDoc or our licensors and protected by intellectual property laws.
  • Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use generated documents for your personal or internal business use.
  • Feedback you provide may be used by 123LegalDoc without restriction or obligation.

7. Privacy

Your use of the Services is subject to our Privacy Notice, which explains how we collect, use, and share personal information.

8. Disclaimers of Warranties

  • THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • We do not warrant that the Services will meet your requirements, be error-free, or that generated documents will be accepted by any court or agency.

9. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, 123LEGALDOC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
  • OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO 123LEGALDOC IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

10. Indemnification

You agree to indemnify and hold harmless 123LegalDoc, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Services or violation of these Terms.

11. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Texas, without regard to conflicts of law principles.
  • The parties agree to first attempt to resolve disputes informally. If a dispute is not resolved within 30 days, it shall be submitted to binding arbitration administered by the American Arbitration Association in Austin, Texas, except that either party may seek injunctive relief in court for intellectual property or unauthorized access issues.
  • YOU AND 123LEGALDOC WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

12. Modifications

We may update these Terms by posting a revised version on the Services. Material changes will be communicated via email or in-product notice. Continued use after the effective date constitutes acceptance.
